Terms and Conditions for All Purchases

Thank you for choosing Seizing Happy®. By completing your purchase, you agree to the following Terms and Conditions (“Terms”). These Terms are designed to protect our work, set clear expectations, and ensure a smooth and professional experience.

PARTIES

These Terms are entered into between you (“Client,” “you,” or “your”) and Seizing Happy® (“Company,” “we,” “us,” or “our”). By purchasing or participating in any Seizing Happy® offerings, you agree to be legally bound by these Terms.

ACCEPTANCE OF TERMS OF PURCHASE

These Terms govern your access to and use of all Seizing Happy® services, products, programs, subscriptions, events, and content. It is your responsibility to read these Terms prior to purchase. By completing your purchase, you acknowledge that you have read, understood, and agreed to these Terms.

ELIGIBILITY / MINIMUM AGE

You must be at least 18 years of age to purchase or participate in any Seizing Happy® services. By purchasing, you represent and warrant that you meet this requirement and have the legal capacity to enter into this agreement.

SERVICES

Services may include, but are not limited to:

Digital content, courses, coaching programs, subscriptions, and downloadable materials
Virtual and/or in-person events
Live or pre-recorded coaching sessions via Zoom or similar platforms
Program updates delivered through client portals or other access points
Any additional offers created by Seizing Happy

CLIENT RESPONSIBILITY

You acknowledge that your success depends on your own effort, commitment, and implementation. Seizing Happy® provides education, guidance, and tools only. No specific outcomes or results are guaranteed.

REGISTRATION AND PAYMENT

You agree to pay all fees as displayed at checkout. All payments are final and non-refundable, except where required by law.

If you enroll in a payment plan, you authorize automatic recurring charges until the balance is paid in full. Failure to complete payments may result in suspension or termination of access. You remain responsible for the full balance regardless of participation level.

If Seizing Happy® cancels an event or materially changes service delivery, reasonable alternatives or credits may be offered at the Company’s discretion.

LATE FEES

Payments not received within five (5) days of their due date may incur a late fee of 1.5% per month on the outstanding balance until paid.

CHARGEBACKS

You agree to contact Seizing Happy® prior to initiating a chargeback. Chargebacks constitute a material breach of these Terms. In the event of a chargeback, you forfeit all licenses and access rights to purchased materials and services. Seizing Happy® reserves the right to submit evidence of agreement and delivery to the financial institution.

BUSINESS HOURS AND COMMUNICATION

Business hours are Tuesday–Thursday, 9:00 a.m.–3:00 p.m. EST. Responses are typically provided within three (3) business days. Messages received outside business hours or during Company closures will be addressed on the next business day. Seizing Happy® reserves the right to change these hours without notice.

RECURRING SUBSCRIPTIONS

For subscriptions, you authorize recurring charges until cancellation. Subscription fees are non-refundable. Access continues through the end of the current billing cycle after cancellation.

CANCELLATION POLICY

Cancellations must be submitted via email to [email protected] at least fifteen (15) days prior to the next billing date. You remain responsible for any outstanding balance. No refunds are issued for unused time or partial participation.

FORCE MAJEURE

Seizing Happy® is not liable for delays or failures caused by events beyond reasonable control, including acts of God, illness, public health emergencies, or technical disruptions.

CLIENT CONFIDENTIALITY

You agree to maintain confidentiality regarding proprietary materials, strategies, and non-public information disclosed during participation.

INTELLECTUAL PROPERTY RIGHTS

All content is owned by Seizing Happy® and protected by intellectual property laws.

Unauthorized reproduction, distribution, or modification is prohibited.

NO REPRODUCTION

You may not reproduce, resell, sublicense, or redistribute Seizing Happy® materials without prior written consent.

PRIVACY

Your information is handled in accordance with our Privacy Policy, which is incorporated by reference.

USER CONTRIBUTIONS

If you voluntarily submit, post, or share any content with Seizing Happy®, including but not limited to testimonials, feedback, comments, written responses, audio, video, images, or other materials (“User Contributions”), you grant Seizing Happy® a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, publish, display, and distribute such User Contributions for educational, marketing, promotional, and business purposes, unless you explicitly notify us in writing otherwise.

This license does not transfer ownership of your content to Seizing Happy®. You retain all ownership rights in your original materials.

You represent and warrant that:

You own or have the necessary rights to submit the User Contributions, and
The User Contributions do not infringe upon the rights of any third party.

If you wish to revoke permission for future use of a specific contribution, you may submit a written request to [email protected]. Revocation will apply prospectively and will not require removal of content already published or distributed prior to the request.

Testimonials reflect individual experiences only. Seizing Happy® makes no guarantees, representations, or warranties regarding outcomes, results, income, revenue, personal transformation, or business success.

Any testimonials, examples, or success stories shared are not promises of future performance and are provided for illustrative purposes only. Results vary based on individual effort, experience, circumstances, market conditions, and numerous factors beyond our control.

You acknowledge that:

You are solely responsible for your decisions, actions, and results
Participation in our services does not guarantee any specific outcome
No verbal or written statements should be interpreted as guarantee

By purchasing or participating, you agree that Seizing Happy® is not responsible for your results or lack thereof, and you release the Company from any claims related to unmet expectations.

GENERAL DISCLAIMER

Services are provided for educational purposes only and do not constitute medical, legal, or financial advice.

TECHNOLOGY DISCLAIMER

We are not responsible for technology failures beyond our control.

WARRANTIES DISCLAIMER

All services are provided “as is” without warranties of any kind.

COACHING AND MENTAL HEALTH SUPPORT

Seizing Happy® provides coaching, education, and personal development services only. Our services are not therapy, counseling, psychotherapy, mental health treatment, or a substitute for professional medical, psychological, psychiatric, or mental health care.

Seizing Happy®, GiGi Diaz, and all associated team members do not diagnose, treat, prevent, or cure any mental health condition, emotional disorder, or medical condition.

You acknowledge and agree that:

Coaching is a collaborative, educational process focused on personal and professional growth
Coaching does not replace care provided by licensed mental health professionals
You are solely responsible for your mental, emotional, and physical well-being during and after participation

If you are experiencing psychological distress, emotional instability, trauma, or mental health challenges, you agree to seek support from a qualified mental health professional and understand that Seizing Happy® is not responsible for addressing or managing such conditions.

By participating in our services, you expressly release Seizing Happy®, GiGi Diaz, and all affiliates from any claims related to mental or emotional distress, psychological harm, or unmet therapeutic expectations.

WARRANTIES AND REPRESENTATIONS

You represent that participation does not violate any other agreements and that all information provided is accurate.

ASSIGNMENT

These Terms may not be assigned without written consent.

ASSUMPTION OF RISK

You assume full responsibility for your participation and actions.

PRIOR PURCHASE

Prior purchases are not refundable or transferable if included in raffles, bundles, or promotions.

RIGHT TO REFUSE SERVICE

Seizing Happy® reserves the right to refuse or terminate service at its sole discretion for violations of these Terms or disruptive behavior.

INDEMNITY AND RELEASE

You agree to indemnify and hold harmless Seizing Happy® from claims arising from your participation or breach of these Terms.

LIMITATION OF LIABILITY

Liability is limited to the amount paid for the applicable service. No indirect or consequential damages shall apply.

LIMITATION ON TIME TO FILE CLAIMS

Any claim must be brought within six (6) months of the event giving rise to the claim.

WAIVER

Failure to enforce a provision does not waive future enforcement.

SEVERABILITY

If any provision is unenforceable, the remaining provisions remain in effect.

MODIFICATION OF TERMS

Seizing Happy® may update these Terms at any time. Continued use constitutes acceptance of revised Terms.

ENTIRE AGREEMENT

These Terms constitute the entire agreement between the Parties.

GOVERNING LAW

Governed by the laws of the State of Florida.

MEDIATION

Disputes will first be submitted to mediation in Miami-Dade County, Florida, or via Zoom.

JURISDICTION AND VENUE

Exclusive jurisdiction lies in Miami-Dade County, Florida.
